This chapter focuses on the facilitation in the exercise of the shareholder rights and on the legal sources related to such issue (SRD I, SRD II, and Commission Implementing Regulation (EU) 2018/1212). In particular, the different ways the facilitation might take place in the national transpositions are taken into consideration, and also the diverse rights whose exercise is to be facilitated either by the intermediary or by the issuer. A specific care is devoted to the analysis of the facilitation in the case of voting rights. The rules on the prohibition of discrimination, proportionality, and transparency in the service pricing are considered as well, along with the analysis of the rules applicable to third-country intermediaries. Finally, the opportunity for a specific consideration of the facilitation of the rights by non-shareholders is suggested.
